TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using HeavyDutyShops.com (the "Service"), operated by Martin Digital Assets, LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of the Service

HeavyDutyShops.com is an online directory of commercial truck services — including repair shops, parts stores, truck parking facilities, and towing services — serving drivers, fleet operators, and business owners in the United States. The Service allows visitors to search listings, read and submit reviews, and for business owners to claim and manage listings.

3. User Accounts

To leave reviews, save listings, or manage a business listing, you must create an account. You are responsible for:

  • Providing accurate and complete registration information.
  • Maintaining the confidentiality of your password.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorized account access.

We reserve the right to suspend or terminate accounts that violate these terms, impersonate others, or engage in abusive behavior.

4. Business Listings

Business owners may claim free basic listings or subscribe to Featured ($49/month) or Premium ($99/month) tiers for enhanced visibility and features. By submitting or claiming a listing, you represent that:

  • You are authorized to act on behalf of the business.
  • All information provided is accurate and current.
  • You hold any licenses, insurance, or certifications required to operate the business in its jurisdiction.

We may verify listings via phone, email, or third-party sources. Listings containing false information may be removed without notice.

5. Reviews

Reviews must reflect genuine, first-hand experience with the business. Prohibited content includes:

  • Reviews by a business owner of their own listing.
  • Reviews by competitors.
  • Fake, paid, or incentivized reviews.
  • Content that is defamatory, harassing, threatening, or contains unlawful material.
  • Personally identifying information about third parties.

By posting a review, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, display, and distribute that review in connection with the Service. We may remove reviews that violate these terms.

6. Subscriptions and Payments

Paid subscription tiers (Featured and Premium) bill monthly via Authorize.net. Subscriptions renew automatically until cancelled. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.

Subscribers to Featured and Premium tiers also receive a POS Outlet merchant account for card and fleet card processing. Use of the merchant account is governed by POS Outlet's separate terms.

7. Acceptable Use

You agree not to:

  • Scrape, harvest, or copy listings or reviews in bulk.
  • Interfere with the Service's operation, security, or infrastructure.
  • Submit automated or bot-generated content.
  • Use the Service to distribute spam, malware, or solicit sensitive information.
  • Circumvent any technical limitations or access controls.

8. Intellectual Property

The Service, including its design, code, content, logos, and trademarks, is owned by Martin Digital Assets, LLC or its licensors. You may not reproduce, distribute, or create derivative works without written permission. Business names and logos belonging to third-party businesses remain the property of those businesses.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF LISTING INFORMATION OR REVIEWS. USERS ARE RESPONSIBLE FOR VERIFYING BUSINESS CREDENTIALS, LICENSING, AND FITNESS BEFORE ENGAGING ANY LISTED BUSINESS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARTIN DIGITAL ASSETS, LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY IN ANY MATTER SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may close your account at any time from your dashboard. Sections 5, 8, 9, 10, and 12 survive termination.

12. Governing Law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.

13. Changes to These Terms

We may update these terms from time to time. Material changes will be announced via email to registered users or prominent notice on the homepage. Continued use of the Service after changes take effect constitutes acceptance.
